Terms of Use
Please read these Terms carefully before using Tugboat Supply. By accessing or using any part of the platform or this website, you agree to be bound by these Terms.

1.Acceptance and Eligibility
By accessing this website or the Tugboat Supply platform, you represent and warrant that:
- You are at least 18 years of age.
- You are accessing the platform on behalf of a business entity duly organized and operating within the United States of America.
- You are not located in, or acting on behalf of any person or entity located in or incorporated under the laws of Canada, Mexico, or any jurisdiction outside the United States. Tugboat Supply does not offer its services in Canada or Mexico and does not accept orders, registrations, or leads from those jurisdictions.
- You have the legal authority to bind the entity you represent to these Terms.
- Your use of the platform does not violate any applicable U.S. federal, state, or local law.
2.The Platform and Services
Tugboat Supply provides a multi-tenant B2B procurement platform for the maritime tug and workboat industry. The platform consists of:
- Supplier tenants — branded portals operated at supplier-specific subdomains (e.g., suppliername.tugboatsupply.com) through which marine distributors manage catalogs, fleets, and order fulfillment.
- Fleet and vessel access— captain and crew ordering interfaces accessed through a Supplier’s tenant.
- This marketing website — the public site at tugboatsupply.com, including the supplier directory, lead-capture forms, and informational pages.
We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time with reasonable notice to affected Suppliers.
3.Account Types and Responsibilities
3.1 Suppliers
A Supplier is the SaaS-subscribing entity that holds a tenant and is responsible for:
- Maintaining accurate catalog data and pricing.
- Ensuring all users (captains, crew) invited to their tenant are authorized employees or contractors of their Fleet customers.
- Keeping account credentials secure and promptly revoking access for departed users.
- Complying with all applicable laws in connection with their supply business, including food safety, hazardous materials, and commercial invoicing requirements.
- Ensuring their Fleet customers are informed that their order data is processed by Tugboat Supply under the Supplier’s Data Processing Addendum.
3.2 Fleet Operators and Captains
Fleet operators and captains access the platform under a Supplier’s tenant. They are responsible for:
- Submitting accurate vessel, shift, and requisition information.
- Reviewing and approving crew requests before submitting an order — the captain bears accountability for every submitted order.
- Safeguarding captain authentication credentials.
- Managing crew PIN assignments and revoking PINs for crew who are no longer active.
3.3 Crew Members
Crew members authenticate using an 8-digit PIN on a shared device. PINs are issued and managed by the captain or Supplier. Crew are responsible for using only their own assigned PIN and for the accuracy of items they add to a request.
4.Acceptable Use
You agree not to:
- Use the platform for any unlawful purpose or in violation of any U.S. federal, state, or local law or regulation.
- Attempt to gain unauthorized access to any tenant, account, or data belonging to another Supplier or Fleet.
- Circumvent, disable, or interfere with the tenant-isolation or access-control mechanisms of the platform.
- Submit false, misleading, or fraudulent orders, catalog entries, or lead information.
- Use automated means (bots, scrapers, crawlers) to access or extract data from the platform without our express written consent.
- Reverse-engineer, decompile, or disassemble any part of the platform software.
- Upload, transmit, or store content that infringes any third-party intellectual property right, is defamatory, obscene, or violates any applicable law.
- Resell, sublicense, or provide access to the platform to any party other than your authorized Fleet customers in the ordinary course of a Supplier’s supply business.
- Use the platform or any data obtained from it to compete with Tugboat Supply.
5.Supplier Directory and Lead Data
Supplier profiles listed in the public directory at /marine-supplier-directory are provided by Suppliers or derived from publicly known business information. Suppliers are responsible for the accuracy of their directory listings.
Fleet coverage requests submitted through the “Connect me with a supplier” form are aggregated and displayed to prospective Suppliers as demand signals (e.g., “8 fleets requesting coverage in Puget Sound”) without attribution to individual requestors. By submitting a coverage request, you consent to this anonymized use.
6.Intellectual Property
6.1 Tugboat Supply IP
All software, designs, trademarks, logos, trade names, content, and documentation comprising the platform and this website are owned by or licensed to Tugboat Supply and are protected by U.S. copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to access and use the platform solely for your authorized internal business purposes.
6.2 Supplier and Fleet Data
Each Supplier retains ownership of its catalog data, Fleet relationships, and order history. Each Fleet retains ownership of its vessel and order information. Tugboat Supply is granted a limited license to host, process, and display that data solely to provide the platform services.
6.3 Feedback
If you provide suggestions, ideas, or feedback about the platform, you grant Tugboat Supply a perpetual, royalty-free, worldwide license to use that feedback without restriction or obligation to you.
7.Pricing, Payment, and Billing
Supplier subscriptions are billed on a SaaS basis. Pricing, billing cycles, and payment terms are set out in your Supplier Order Form or subscription agreement. Fleet operators, captains, and crew access the platform free of charge through their Supplier’s tenant.
Failure to pay fees when due may result in suspension of your tenant. All fees are non-refundable except as required by applicable law or expressly stated in your Order Form.
8.Roadmap Features and Pilot Capabilities
Budget visibility widgets currently use mock or local-storage data and are marketed as “spend visibility,” not hard budget caps or enforcement mechanisms. Do not rely on budget widget data for financial controls.
9.Disclaimers
THE PLATFORM AND THIS WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY DEFECTS WILL BE CORRECTED; (C) THE PLATFORM IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE PLATFORM WILL MEET YOUR REQUIREMENTS.
IDEMPOTENT SUBMIT MECHANISMS REDUCE BUT DO NOT ELIMINATE THE RISK OF DUPLICATE ORDERS ON UNRELIABLE CONNECTIONS. SUPPLIERS SHOULD INDEPENDENTLY VERIFY ORDER RECEIPT.
10.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TUGBOAT SUPPLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL OUR AGGREGATE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO TUGBOAT SUPPLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11.Indemnification
You agree to indemnify, defend, and hold harmless Tugboat Supply and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your breach of these Terms; (b) your use of the platform in violation of applicable law; (c) the content you submit to the platform; or (d) your infringement of any third-party right.
12.Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the platform are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law principles. Maritime law applies to disputes arising directly from vessel operations where applicable.
Before initiating any formal proceeding, the parties agree to attempt to resolve disputes informally by contacting legal@tugboatsupply.com. If informal resolution fails after 30 days, disputes will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in English in Wilmington, Delaware. You waive any right to a jury trial and to participate in a class action.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property or confidential information.
13.Termination
We may suspend or terminate your access to the platform immediately, without prior notice, if you breach these Terms or engage in conduct that we reasonably believe is harmful to us, other users, or third parties. Suppliers may terminate their subscription in accordance with their Order Form. Upon termination:
- Your right to access the platform ceases immediately.
- We will retain your data in accordance with our Privacy Policy and applicable law.
- You may request an export of your Supplier or Fleet data within 30 days of termination.
- Sections 6, 9, 10, 11, 12, and 14 survive termination.
14.General Provisions
- Entire agreement. These Terms, together with your Order Form and any applicable Data Processing Addendum, constitute the entire agreement between you and Tugboat Supply regarding the platform and supersede all prior agreements.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce it in the future.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices. Legal notices to Tugboat Supply must be sent to legal@tugboatsupply.com.
- Updates. We reserve the right to modify these Terms at any time. Continued use of the platform after the effective date of updated Terms constitutes acceptance.
